Lowenstein Sandler represented independent private equity firm NexPhase Capital, LP (NexPhase) in the sale of Insurance Technologies, LLC (Insurance Technologies), a provider of sales and regulatory automation solutions for the insurance and financial services industries, to private equity firm Thomas H. Lee Partners (THL). The transaction is subject to the completion of customary closing conditions and any regulatory approvals.

Through investments in people, processes, and products, NexPhase has worked closely with Insurance Technologies’ management team to drive dynamic advancement of a truly digital sales lifecycle solution within a single platform. NexPhase brought the strategic, operational, and industry expertise needed to elevate Insurance Technologies’ position as a partner the financial services and insurance industries can count on. Since partnering with the NexPhase team in 2014, Insurance Technologies has experienced significant growth by expanding its carrier and distributor client bases, and the company is now well positioned for continued success with THL.

NexPhase is a thematic and operationally focused private equity firm that invests in lower-middle-market, growth-oriented companies within three distinct sectors: consumer, health care, and software and services.

Insurance Technologies offers the insurance and financial services industries a suite of integrated sales solutions, from pre-sale functions to illustrations and e-application to post-sale services. THL is a premier private equity firm investing in middle-market growth companies, headquartered primarily in North America, exclusively in four sectors: consumer, financial services, health care, and technology and business solutions.

Lowenstein Sandler has represented NexPhase on several deals since 2018, including the company’s strategic partnership with DealerOn, sale of Flexible Architecture and Simplified Technology (FAST) to Verisk Analytics, investment in Surgent, investment in Popcornopolis, and investment in Brandt Information Services.

The Lowenstein deal team included Christopher C. HenryMichael Walutes, Zarema A. Jaramillo, Doreen M. Edelman, Jack Sidorov, Megan Monson, Matthew Tippy, Amanda C. Lutick, and Michael T. Melchiorre.
