Michael Walutes has been advising clients on transactional tax matters for more than 25 years. He represents clients in connection with a broad range of tax matters, with a particular focus on mergers and acquisitions, joint ventures, fund matters, real estate investment trusts (“REITs”), securities issuances, recapitalizations, financing, and cross-border investments. His clients range from startups to global public corporations. His REIT experience includes advising in connection with REIT qualification matters, securities issuances, acquisitions, UPREIT matters, and ownership restriction issues.

  • Represented Catalyst Investors, a growth equity venture capital firm investing in technology-enabled and SaaS businesses, as the lead investor in a $15 million Series B funding round in Breezeway Homes, Inc., a provider of vacation rental property operations’ management software.
  • Represented ILC Dover, a New Mountain Capital portfolio company and designer and manufacturer of materials for life sciences applications, in its acquisition of KSE Scientific, a leading supplier of water for injection and related solutions for biopharma, cell and gene therapy, tissue banking and medical device end markets.
  • Represented Cloudmed, a New Mountain Capital portfolio company and leader in Revenue Intelligence™ solutions for healthcare providers, in its acquisition of par8o, an innovative healthcare technology company specializing in 340B and patient referral management technology for healthcare providers.
  • Represented The Estée Lauder Companies Inc. in its acquisition of By Kilian, a Paris-based prestige fragrance brand.
  • Represented Diligent Corporation (NZX: DIL), the leading provider of secure online collaboration and document sharing solutions for boards, committees, and leadership teams, in its acquisition by Insight Venture Partners, a leading global venture capital and private equity firm.
  • Represented The Estée Lauder Companies Inc. in its investment in Have & Be Co. Ltd., the South Korean company behind skin care brands Dr. Jart+ and Do The Right Thing.
  • Represented Signature Brands, a North American manufacturer of dessert decorating products, and its owner, private equity firm Traub Capital Partners, in the acquisition of Brand Castle.
  • Represented Wynnchurch Capital, L.P., a middle-market private equity investment firm, in its acquisition of Mattress Warehouse, LLC, a privately held specialty mattress retailer with over 300 retail locations in the U.S.
