  • Represented Sax Advisors in its minority investment by Cobepa, an independent, privately held investment company with offices in Brussels and New York.
  • Represented Covis Pharma S.á.r.l and Covis Injectables S.á.r.l, global specialty pharmaceutical companies and portfolio companies of Cerberus Capital Management, in their all-cash $1.2 billion sale of assets to Concordia Healthcare Corp (TSX: CXR).
  • Represented Metalico Inc. (MEA), one of the nation's largest scrap metal recyclers, in its execution of the merger agreement for the $102 million all-cash sale to Total Merchant Limited.
  • Represented the founder and management team in Radwell International, Inc., a company that stocks and sells new and surplus industrial automation, MRO, pneumatic, motion, electronic, hydraulic, HVAC and electrical control equipment, in its recapitalization transaction with CVC Capital Partners VIII; and in its transaction with Greenbriar Equity Group, L.P.
  • Represented Englert, Inc., a franchise-based business that manufactures commercial and residential metal roofing and gutter systems, in its sale to Audax and Gutter Buyer, Inc.
  • Represented Joseph Cory Warehouses, Inc., Joseph Cory Holdings LLC, Cory Home Delivery Service of P.R., Inc., and Joseph Cory Delivery Service of FLA. Inc.  in connection with its sale of all of its assets to J.B. Hunt Transport, Inc. (Nasdaq:JBHT). JB Hunt, based in Lowell, Arkansas, is one of the largest surface transportation, delivery, and logistics companies in North America.
  • Represented PJW Restaurant Group, the American restaurant holding company founded by Bob Platzer with 26 restaurants across six brands throughout Southern New Jersey and Eastern Pennsylvania, in its sale to Garnett Station Partners.
  • Represented A.C.E. Restaurant Group, Inc. and seventeen of its entities, the owners of franchised Houlihan’s restaurants, in connection with its sale of substantially all of the assets of each entity to Houlihan’s Restaurants, Inc., IHOP NJ NY, LLC, and their subsidiaries.
  • Represented Crimson Investment in the sale of Milton Industries, a manufacturer and distributor of tools and accessories used in pneumatic applications.
  • Represented Cloudworks, a Toronto-based Oracle Cloud implementation service provider, in its sale to Accenture (NYSE: ACN).
  • Represented Cranford Pharmaceuticals LLC in the sale of Inderal LA and Propranolol ER to ANI Pharmaceuticals Inc. (NASDAQ:ANIP).
