Brianne Polito provides intellectual property, technology, and data security-related counseling to clients in various industries. She drafts and negotiates the intellectual property provisions of M&A agreements, as well as licensing agreements, master service agreements, assignment agreements, software development agreements, and other agreements involving intellectual property.

Brianne has represented prominent brands in the food, lifestyle, beauty, fitness, and fashion industries. Her experience includes the negotiation and drafting of commercial and social media-related and technology-related contracts and intellectual property diligence for M&A transactions, as well as intellectual property litigation and the prosecution and enforcement of trademarks. Her background also includes performing trademark clearance searches, managing client trademark portfolios, and drafting website terms of use and privacy policies.

Brianne has co-authored several articles on cutting edge issues, including "The No Fakes Act and the Right of Publicity in the Age of Generative AI” for the Association of National Advertisers; and "A Haystack in a Hurricane: The Legal Risks of Depicting Real People in Your NFT" in Brave New Coin.

  • Represented Traub Capital Partners, a strategic private equity firm specializing in building value in consumer companies using its unique combination of investment, strategic and operational expertise, in its investment in Sabatino Tartufi, a 110-year-old truffle supplier for retailers, consumers, and restaurants.
  • Represented PeakSpan Capital as lead investor in the $21 million Series A financing of Israeli startup Konnecto, the first artificial consumer intelligence platform that identifies the most impactful vulnerabilities in the full path to purchase, providing unparalleled visibility into the untouched earliest stages of the competitors' consumer journey.
  • Represented Mill Point Capital LLC, a middle-market private equity firm focused on control-oriented investments in the business services, industrials, and IT services sectors in North America, in its acquisition of E&M Logistics Inc. (E&M), one of the nation’s leading direct store delivery (DSD) distributors of ice cream, frozen and fresh foods, and beverages.
