Amanda advises public and pre-IPO companies on capital markets transactions and corporate governance matters, with a focus on IPOs, follow-on offerings, RDOs, ATMs, and PIPE offerings. Working extensively with clients in the biotechnology, life sciences and pharmaceutical industries, she also provides counsel on corporate governance and disclosure matters, such as SEC reporting, compliance issues, and stock exchange requirements.
Amanda regularly represents public companies on their securities offerings; proxy statements; annual, quarterly and current reports; as well as a wide range of transaction documents. She has also worked on non-traditional going-public transactions, including SPAC transactions and reverse triangular mergers.
While pursuing her J.D., Amanda interned with the New York State Office of the Attorney General at the Civil Litigation Bureau; the Hon. Jose L. Linares, C.J., U.S. District Court for the District of New Jersey; and the Hon. Thomas M. Moore, J.S.C., Superior Court of New Jersey.
