Amanda Navarro advises public and pre-IPO companies on capital markets transactions and corporate governance matters, with a focus on IPOs, follow-on offerings, RDOs, ATMs, and PIPE offerings. Working extensively with clients in the biotechnology, financial services, life sciences and pharmaceutical industries, she also provides counsel on corporate governance and disclosure matters, such as SEC reporting, compliance issues, and listing exchange requirements.

Amanda regularly represents early-stage companies with their securities offerings; proxy statements; annual, quarterly and current reports; as well as a wide range of public company representation. She has also worked on non-traditional going-public transactions, including SPAC transactions and reverse triangular mergers.

 

  • Represented Special Situations Funds as lead investor in a $23 million registered direct offering of ordinary shares for Arbe Robotics Ltd. (NASDAQ: ARBE), a global leader in perception radar solutions.
  • Represented Wedbush Securities Inc. as sales agent for an at-the-market offering of common stock of TScan Therapeutics, Inc. (NASDAQ: TCRX), a clinical-stage biopharmaceutical company dedicated to creating life-changing T cell therapies, of up to $75 million.
  • Represented Avalon GloboCare Corp. (NASDAQ: ALBT), a clinical-stage global developer of cell-based technologies and therapeutics, in its $21 million acquisition of a minority stake in Laboratory Services MSO, LLC, a biotechnology research laboratory and diagnostic testing facility.
