Scott D. Fisher advises corporate clients, investment funds, and individuals in connection with public and private offerings of debt and equity securities, corporate governance, joint ventures, mergers and acquisitions, and general corporate and securities law matters.

Scott has represented both issuers and underwriters in public and private securities transactions, including initial public offerings, for more than 25 years. He has significant experience working on complex, large-scale offerings with private equity funds, including all stages of investment in and exit from their portfolio companies. Additionally, Scott is well-versed in the Canada-U.S. multijurisdictional disclosure system (MJDS) and other provisions of the U.S. securities laws applicable to cross-border transactions.

Scott regularly works with international companies in cross-border transactions in regulated industries. Companies and their boards of directors turn to him for counsel on securities law and corporate governance matters involving the Securities Act of 1933, the Securities Exchange Act of 1934, and the Sarbanes-Oxley Act, as well as related stock exchange requirements.

Prior to entering private practice, Sott clerked for the Honorable Raymond J. Dearie of the U.S. District Court in the Eastern District of New York.
