Michael’s practice focuses on advising start-ups and established companies on issues pertaining to corporate and securities law, including venture capital financing, mergers and acquisitions, capital markets, and corporate governance.
Michael represents venture-backed private companies within the technology, healthcare, and other sectors, providing counsel from formation and early-stage to pre-IPO. He advises founders on the spectrum of legal and business issues they face as they incorporate and begin to scale, as well as on capital raises, including SAFEs and series rounds.
A former associate at two AmLaw 50 firms, Michael has experience representing private and public, domestic and foreign companies, private equity firms and investment banks in all aspects of corporate transactions, including IPOs, de-SPACs, Rule 144A and Regulation S transactions, shelf takedowns, at-the-market programs, and share repurchases.
