Michael Scales advises fund manager and investor clients on all aspects of their businesses, including the structuring, formation, regulatory compliance, and operation of a variety of private investment funds.
He represents clients in drafting and negotiating a broad array of commercial agreements, including investment banking and financial advisor engagements, vendor and licensing agreements, and confidentiality agreements. He also has experience representing hedge funds and private equity funds in the negotiation and documentation of prime broker and over-the-counter trading agreements, including ISDA Master Agreements, Global Master Repurchase Agreements, Master Repurchase Agreements and master confirmation agreements. He also advises clients with respect to regulatory issues related to derivatives, including compliance with the Dodd-Frank Act and other regulatory reforms.
In addition, Michael counsels clients with respect to alternative data and related compliance issues by conducting systematic due diligence and related contract negotiations in connection with the onboarding and renewal of alternative data vendors.
Michael previously served as a law clerk to the Hon. Joseph L. Yannotti, P.J.A.D., in the Superior Court of New Jersey, Appellate Division.
