Kevin Colan advises clients on effective tax strategies for successful mergers, acquisitions, and dispositions of public and private companies, as well as strategic investments and joint ventures. His practice focuses on protecting his clients’ interests in strategic transactions by creating innovative tax structuring solutions that support their overall financial and business goals. 

Working closely with investment managers and their principals, Kevin also structures funds focused on private equity, credit, real estate, infrastructure, and other alternative asset classes and advises on the structuring and financing of investments by these funds.

Kevin frequently assists clients with cross-border tax planning as they finance and structure their multinational operations. He also provides counsel to corporate and partnership issuers on equity and debt instruments and other financings and works with lenders and obligors on debt restructurings and bankruptcies.
 
In addition to his experience in private practice at several AmLaw 20 firms, Kevin previously served as a Special Agent in the Federal Bureau of Investigation, where he principally investigated health care and securities fraud and coordinated investigations with federal agencies including the I.R.S. and the U.S. Postal Service.

  • Arini, in connection with the structuring of its direct lending fund, Arini Direct Lending Fund, with over $1 billion in investable capital
  • ICONIQ Capital in connection with private equity, private credit, co-investment and fund revenue share investments
  • Citigroup, in connection with the disposition of its global fiduciary and trust administration services business to professional services provider JTC for $80 million
  • ED&F Man Holdings Limited, one of the world’s leading providers of soft commodities and logistics, in connection with the sale of its coffee, animal feed and sugar businesses to Hartree Partners, LP, a global energy and commodities trading company
