Hila Cohen advises investment managers on the formation, fundraising, and operation of private investment funds across a range of strategies, with a particular focus on venture capital funds and emerging managers. Her clients include first-time and emerging managers launching investment advisory businesses and flagship funds, as well as established sponsors forming successor funds and expanding their organizations.

Hila guides clients through fund and upper-tier structuring, market terms and economics, securities law matters, and investor negotiations. She often begins working with managers at formation and continues to advise them as they raise subsequent funds, expand their teams, and develop their governance and succession plans. Her practice also encompasses regulatory compliance and operational matters, including conflicts of interest, disclosure issues, and management and profit-sharing arrangements.

Hila also represents institutional investors in connection with investments in private funds across a variety of strategies and structures, including anchor investments and co-investments. Her investor-side experience informs her advice to fund managers on market terms, investor priorities, and negotiations.
