Join Lowenstein Sandler's Zarema A. Jaramillo, Robert A. Johnston Jr. and Bryan I. Reyhani for a discussion of best practices for employees sitting on portfolio company boards and the potential pitfalls that can arise.

The speakers offer a 360-degree perspective on the roles and responsibilities of portfolio company directors. Johnston will discuss lessons learned from his years serving in various legal and compliance roles at one of the largest institutional alternative asset managers in the world, where he led compliance program design, implementation, and monitoring. Reyhani, who advises companies on corporate governance, will add his own insights into the practical realities of serving on boards from his years of experience of serving as Chairman of the Board of a publicly traded company, as well as on audit, compensation, corporate governance, and M&A committees of multiple public companies. Jaramillo will highlight some of the antitrust considerations and recent regulatory enforcement actions affecting board directors and will provide high level guidance for mitigating antitrust risk.
