Vivian counsels clients on a variety of private and SEC-registered capital markets and securities transactions, including initial public offerings, secondary offerings, investment grade and high-yield debt offerings, Rule 144A private offerings, tender offers, and other capital market transactions. She also advises on SEC filings, including regular reporting and other filings and corporate governance matters.
Before joining Lowenstein, Vivian was an associate at an Am Law 50 firm where she represented financial institutions, private equity, and corporate clients on SEC matters, particularly high-yield bond and common stock transactions in acquisitions, investments, restructurings, and other corporate transactions. She also was seconded at an American global investment company where she led co-investment structuring discussions with deal teams, deal counsel, and specialists while coordinating the preparation and negotiations of co-investment documentation and distribution to co-investors; she also led the co-investor NDA process including initial drafting and review of NDAs, consultations with deal teams, and negotiations with co-investors.
As a Research Fellow at New York Law School, Vivian, who is also a health coaching student, co-authored a report, Unshared Bounty, that explores how for-profit grocery stores and establishments within the United States are working to combat food deserts.
