Kimber works with public and privately held companies, including emerging growth companies, on mergers and acquisitions, debt and equity financings, private offerings, cross-border transactions, corporate formation, and governance issues.
Her corporate practice includes counseling private equity, technology, and retail clients on complex domestic and cross-border mergers, acquisitions, asset sales and restructurings. She has experience with debt and equity capital raises, including negotiating subscription agreements, shareholder rights agreements, and convertible notes and note purchase agreements. Kimber also drafts joint venture, entity formation, and governance documents, as well as agreements pertaining to manufacturing, services, licenses, escrow arrangements, and employment.
While in law school, Kimber interned in the Domestic Violence Bureau of the Queens County District Attorney’s Office. She is a member of the Asian American Bar Association.
