Jonathan is an experienced commercial and complex civil litigator who represents institutional investors in connection with appraisal proceedings, securities litigation, fixed income disputes, and corporate governance disputes. Specifically, his practice focuses on counseling and representing hedge funds and other professional investors in disputes arising from mergers, acquisitions, securities fraud, violations of debt covenants, structured finance disputes, and other significant events impacting their rights as debt or equity holders.
Jonathan also has experience leading internal investigations on behalf of international sovereigns and large corporations concerning the Foreign Corrupt Practices Act (FCPA), the False Claims Act (FCA), and securities laws violations.
Prior to representing shareholders, Jonathan spent more than a decade advising corporations in connection with corporate governance, securities, FCPA, fraud, and breach of contract matters.
