Chelsea advises clients across multiple industries on all facets of debt financing. She represents private and public companies, lenders, and financial institutions on commercial lending, venture finance, secured transactions, acquisition financing, and other general corporate matters.
Representing senior and mezzanine lenders, Chelsea drafts and negotiates credit agreements, loan and security agreements, security documents, pledge agreements, subordination agreements, and legal opinions. She also represents publicly and privately held borrowers and private equity sponsors in arranging secured and unsecured financing, including senior debt, single-lender, and multibank agented credit facilities in connection with venture debt, acquisition financings, recapitalization, and working capital.
Chelsea has served as outside general counsel for private software companies, startups, and late stage unicorn private companies. For these clients, she has drafted corporate governance and company policies; managed intellectual property portfolios; handled litigation matters; negotiated vendor and real estate contracts; and advised on labor and employment matters, data privacy and security, due diligence review, social media, mobile device and website policies, and crowdfunding SEC guidelines.
Prior to private practice, Chelsea worked for several years at Citigroup as Associate General Counsel for Global Wealth Management. There she advised on ethics, business practices, marketing, and securities regulations requirements in debt and equity transactions in order to address and mitigate legal and organizational risk.
