Laura represents public and private companies on mergers and acquisitions, securities regulation, and general corporate matters.

After 30 years of practice, Laura remains energized by the challenge of helping businesspeople achieve their goals. When novel issues arise or new problems need to be worked through, she offers practical advice and creative solutions to achieve her clients’ objectives.

In the area of government regulations, Laura routinely advises clients on disclosure and compliance under the SEC’s ever-changing regulatory framework, corporate governance issues under the Sarbanes-Oxley Act and the Dodd-Frank Wall Street Reform and Consumer Protection Act, and securities exchange requirements, as well as insider reporting and short-swing profit rules.

Laura also provides advice on public securities offerings, private placements of securities, and shareholder agreements for family-owned businesses and other private companies.

Outside the office, Laura is actively involved in autism advocacy. She has helped raise funds for autism research by chairing several walks for the nonprofit organization Autism Speaks and its predecessor, including the first autism walk held in New Jersey. She serves on the board of the New Jersey Chapter of Autism Speaks, chairing its grants committee. In addition, she is on several committees of Bancroft, a leading provider of programs and services for children and adults with autism and other developmental disabilities.

Represented Lakeland Bancorp, Inc. in the merger of Harmony Bank into Lakeland Bank, a wholly-owned subsidiary of our client Lakeland Bancorp, Inc.
Represented Lakeland Bancorp in its acquisition of Pascack Bancorp, Inc.
Represented Blue Bird Corporation, a portfolio company of Cerberus Capital Management, L.P., as securities counsel in Blue Bird’s business combination with Hennessy Capital Acquisition Corp. and the launch of Blue Bird as a public company.
