Terence D. Watson is a member of Lowenstein Sandler's Bankruptcy, Financial Reorganization & Creditors' Rights Group. An experienced bankruptcy attorney and general commercial litigator, he represents debtors, creditors and official committees in Chapter 11 proceedings, specializing in the telecommunications, technology, manufacturing and financial services industries. Mr. Watson also has extensive experience prosecuting and defending adversary proceedings seeking the avoidance and recovery of preferential or fraudulent transfers.
The general commercial litigation aspect of Mr. Watson's practice includes advising clients on matters related to contract disputes, business torts, fiduciary duties and trade secrets in the technology, apparel, manufacturing and financial services industries.
Prior to joining Lowenstein Sandler, Mr. Watson was a Bankruptcy and General Litigation partner at two New York City law firms. Mr. Watson was raised in Tokyo, Japan and speaks conversational Japanese.
Representative Matters:
- Represented qualified intermediaries for I.R.S. § 1031 like-kind exchanges as debtor-in-possession in connection with Chapter 11 proceedings commenced following the improper diversion of over $150,000,000 related to such exchanges.
- Represented publicly held maker of machine vision and automated identification products for semiconductor and other industries as debtor-in-possession in a Chapter 11 proceeding. Representation included debtor-in-possession financing, asset sales, use of cash collateral, as well as lift-stay motions, assumption and rejection of executory contracts and equitable subordination of claims.
- Represented official committee of unsecured creditors of global telecommunications provider in connection with Chapter 11 proceeding. Representation included the prosecution and resolution of hundreds of adversary proceedings seeking the avoidance and recovery of preferential transfers.
- Represented Chapter 7 trustee in connection with the prosecution of adversary proceedings seeking the avoidance and recovery of fraudulent transfers.
- Represented a multi-billion dollar fashion apparel company in an arbitration proceeding involving claims alleging breaches of distribution and licensing agreements and fraud.
- Represented the general partner of a partnership in an arbitration proceeding involving claims for breach of contract, breach of fiduciary duties and business torts related to the management of the partnership and control over its exclusive rights to manufacture, market and distribute a pharmaceutical in the United States.
- Represented a foreign bank in connection with the recovery of $240,000,000 lost in a massive international bank fraud scheme. Representation involved the prosecution and resolution of breach of contract and business tort claims, as well as disputes regarding bank secrecy laws following extensive foreign discovery and coordination among related proceedings in the United Kingdom, France, the Middle East and Africa.
- Represented a corporation that was engaged in the refurbishment and sale of used disposable cameras in connection with a thirteen-day jury trial involving, among other issues, patent infringement, the doctrine of permissible repair and the calculation of a reasonable royalty.
