OVERVIEW OF DEBTORS CASES AND BUSINESS
On March 31, 2009, the Sun-Times Media Group, Inc. (the “Company”) along with 31 other debtors (collectively, the “Debtors”) filed for relief under chapter 11 of the Bankruptcy Code. The Company is a Delaware corporation and the ultimate parent of each of the Debtors in these Chapter 11 cases. The Company publishes and distributes newspapers to the greater Chicago, IL area and operates several websites. The Company has non-debtor affiliates in Canada, the United Kingdom and Bermuda. In July 2006, the Company's name was changed.

PURPOSE FOR CHAPTER 11 FILINGS
Pursuant to the Declaration of James D. McDonough in Support of First Day Motions ("First Day Declaration"), the Debtors are commencing their cases despite the fact that they do not have "outstanding funded debt." First Day Decl. at ¶6. The Debtors cite two main reasons for these filings: (1) the Debtors are severely impacted by the significant downturn (of approximately 30%) in print advertising revenue and (2) pending IRS tax liability. Id. According to the First Day Declaration, the Debtors plan to use the chapter 11 process to reset the Company's cost structure, stabilize operations, and sell the Company's assets in a 363 sale.
