Susan M. Cohen is Counsel in the firm's Corporate Department. Ms. Cohen's practice involves the representation of private and public company clients in their compliance with the state securities or "blue sky" laws and regulations. She represents clients on a broad range of corporate and securities transactions involving offerings of debt and equity securities. In particular, she advises clients, which include both issuers and underwriters, on state securities law and broker-dealer obligations and restrictions in various private placements and public offerings, such as private equity investments, venture capital and mezzanine financing transactions, employee benefit plans, resales, Rule 144 transactions, and mergers and acquisitions.
