Ryan Melcher’s plan to parlay his educational background as an economics major into a legal practice quickly paid off. Today, his work spans a broad array of mortgage banking, structured finance and debt financing transactions, ranging from the acquisition, disposition and financing of whole loans and servicing rights to asset-based financing, acquisition financing and restructuring transactions.

On any given day, Ryan may be representing a major financial institution in a bulk acquisition of whole loans or representing a servicer in a sale of servicing rights. Other days, he may be representing a lender in a loan repurchase or warehouse facility or representing a borrower in an asset-based financing or acquisition financing facility. This exposure to a client base that includes players on both sides of deals not only gives Ryan a comprehensive understanding of the issues that are important to his clients, but also provides insights into the pressures faced by his clients’ partners and counterparties. It all adds up to an ability to offer a practical approach, and relevant solutions, to clients in all transactions.

For several years, Ryan has served as a coordinator of Lowenstein’s summer associate program and as captain of the firm’s softball team, which in recent years won two Essex County Lawyers League championships. He is especially proud of the firm’s coordination of the 2011 Battle of the Barristers softball tournament that raised over $100,000 for the Fresh Air Fund, which provides inner-city children with the opportunity to attend summer camps.


Representative Engagements

Mortgage Banking and Finance. Represent financial institutions, master servicers and servicers in connection with the acquisition or disposition of whole loans, servicing rights and servicing portfolios, and advise regarding securitization and whole loan rights and obligations. Advise lenders and borrowers in connection with the negotiation and execution of mortgage loan repurchase facilities, mortgage loan warehouse facilities and servicing advance facilities.
Asset-Based Financing. Represented agents and lenders in connection with asset-based loans to a factoring company, a commodity broker and a residential energy provider. Represented a chemical manufacturing company, a nutritional products company, an Internet security provider, a pharmaceutical company and an electronic trading software provider, as borrowers, in connection with asset-based revolving facilities ranging from $10 million to $170 million.
Restructuring and Insolvency. Represented Coach America in connection with a $30 million debtor-in-possession financing. Represented a producer of paperboard products in connection with a prepackaged plan of bankruptcy and related $180 million debtor-in-possession and post-bankruptcy term loan and revolving loan financing.
