Niamh Marie O’Leary-Liu is an associate in the Corporate & Securities Group and the Tech Group. She focuses her practice on venture capital, mergers and acquisitions, technology transactions and general corporate matters.
Ms. O’Leary-Liu previously practiced at Price, Meese, Shulman & D’Arminio, PC where she performed general corporate counseling for companies from small start-ups to Fortune 500 corporations in the software, telecommunications, retail and healthcare industries, as well as handled the negotiation for new ventures, including technology development and licensing, project funding, research and development sponsorship, and business strategy.
Ms. O’Leary-Liu also served as an associate at Beattie Padovano, LLC, representing U.S. and international corporations in matters including technology contracts and other commercial agreements, government contracts, and commercial real estate transactions. From 2003 to 2005, Ms. O’Leary-Liu served as Corporate In-House Counsel to the Caribbean regional office of the international insurance brokerage firm Nausch, Hogan & Murray Inc., where she was responsible for all aspects of corporate governance, contracts drafting and review, client negotiations and policy management, and litigation, including representing a Cayman Islands-domiciled subsidiary in a multi-million dollar commercial claim in federal district court in New York.
From 1999 to 2003, she served first as an Associate and then as Managing Director and shareholder of bond industry tender agent Bondholder Communications Group, where she managed deal strategy and document drafting for dozens of large scale (up to $1 Billion) tender and exchange offers and consent solicitations of outstanding corporate and municipal debt securities in the US and in foreign markets.
While in law school, Ms. O’Leary-Liu was selected to serve as a contracts drafting legal intern in the Satellite Television Networks Division of Scientific-Atlanta, Inc. in a field placement for academic credit, where she drafted and negotiated international commercial agreements and technology contracts. Also during law school, Ms. O’Leary-Liu worked as a summer legal intern for the Federal Trade Commission, Bureau of Competition and for the Corporations Division of the Secretary of State of North Carolina.
Ms. O’Leary-Liu trains regularly in martial arts and has represented various martial arts businesses in corporate governance matters and commercial transactions. She also serves on the Board of Directors of Digital Stone Project, a 501(c)(3) non-profit organization in New Jersey that maintains a state-of-the-art stone sculpture and fabrication facility and provides consultation and education for artists and architects from around the world as well as to the general public.
