Lowenstein represented long time client LifeCell Corporation in connection with its $1.7 billion sale to Kinetic Concepts, Inc. The all cash deal, structured as a front end tender offer with a back end merger, closed in May 2008. The Lowenstein team advising LifeCell on the transaction consisted of Steve Fuerst, Alan Wovsaniker, Steve Skolnick, Ethan Skerry, Andrea Brown and Michael Lestino, with support from David Wissert and Jeri Abrams.
