Marissa L. Morelle is Counsel in the firm’s Corporate Department. Ms. Morelle generally focuses her practice on mergers and acquisitions, corporate finance transactions and corporate and securities law matters. Her experience includes representing companies in connection with registered and private securities offerings (including common stock, preferred stock and trust preferred securities), mergers and acquisitions, joint ventures and other business transactions, as well as public company reporting and compliance and general corporate governance and regulatory matters.

As part of the legal team advising the board of directors of a New York Stock Exchange listed company, Ms. Morelle has knowledge regarding all areas of corporate governance, including Sarbanes-Oxley compliance and general fiduciary duties of board members. Ms. Morelle also has experience working on various structured finance and lending transactions, such as borrowing facilities, mortgage loan purchase and servicing agreements and asset-backed securitization transactions.

Before joining Lowenstein Sandler, Ms. Morelle served as Vice President and Senior Counsel of American Home Mortgage Investment Corp., which was then a publicly traded corporation operating as a real estate investment trust. Prior to that, Ms. Morelle was an associate in the Corporate/Merger and Acquisitions Department of the New York offices of Cadwalader, Wickersham & Taft LLP.
