Michelle Capezza is Counsel in the firm’s Employee Benefits and Executive Compensation Group.

Ms. Capezza counsels clients with respect to all aspects of employee benefits law, including:

  • the design, administration, statutory and regulatory compliance of qualified plans, nonqualified deferred compensation arrangements, employee welfare benefit plans and equity compensation programs

  • fiduciary duty issues under ERISA and compliance with ERISA and the Internal Revenue Code

  • employee benefits issues that arise in connection with merger and acquisition transactions including treatment of equity awards, change-in-control and golden parachute issues, severance, COBRA and PBGC-related issues

  • negotiation of various types of agreements including employment, severance and release agreements, trust agreements and service provider agreements

  • representation of clients before the Department of Labor, Internal Revenue Service and other government agencies

Ms. Capezza began her career as a judicial law clerk to the Honorable Richard S. Rebeck, Superior Court of New Jersey (Civil Part). Prior to joining Lowenstein Sandler, Ms. Capezza was affiliated with the Employee Benefits and Executive Compensation practice of a nationally recognized law firm. Ms. Capezza's prior experience also includes serving as in-house counsel to financial institutions that provide retirement products and plan recordkeeping services to their clients.
