OVERVIEW OF DEBTOR'S BUSINESS

Foamex International, Inc. (http://www.foamex.com/) and its debtor and non-debtor affiliates (the "Company") is a leading manufacturer of flexible polyurethane and advanced polymer foam products in North America, with annual net sales of approximately $980 million during the four fiscal quarters ending on September 28, 2008.

The Debtors in these jointly administered cases are: Foamex International, Inc. (Case No. 09-10560); Foamex, L.P. (Case No. 09-10562); Foamex Latin America, Inc. (Case No. 09-10563); Foamex Asia, Inc. (Case No. 09-10567); FMXI, LLC (Case No. 09-10561); Foamex Carpet Cushion LLC (Case No. 09-10566); Foamex Mexico, Inc. (Case No. 09-10565); and Foamex Canada Inc. (Case No. 09-10568). The Debtors' (other than Foamex Canada Inc.) principal office is located at Rose Tree Corporate Center II, 1400 N. The Debtors employ approximately 2,300 people worldwide and maintain 23 domestic and 8 international manufacturing facilities located throughout the United States, Canada, Mexico and China. The Debtors' operations consist of the following business lines: technical products, foam products, automotive products and carpet cushion products. The Debtors' technical products group produces innovative specialty foam materials and solutions for use in the automotive, consumer, electronic, industrial and medical fields. Its products are found in various consumer and business products, including sponges, band-aids, cleaning brushes and laser and inkjet printers.

The Debtors attribute their current financial situation to a steady and dramatic decline in the Debtors' operating performance since the fourth quarter of 2006, primarily as a result of a significant contraction in the demand for the Debtors' products related to the overall and severe global economic slowdown, including the sustained and unprecedented downturn in the U.S. housing and automotive industries and the economy in general. Also, the Debtors' contend that their over-leveraged balance sheet has significantly contributed to this decline.
