OVERVIEW OF DEBTOR'S BUSINESS

Pliant Corporation and its debtor and non-debtor affiliates (the "Company") is one of North America’s leading manufacturers of value-added films and flexible packaging for food, personal care, medical, agricultural and industrial applications. The Debtors in these jointly administered cases are: Pliant Corporation (Case No. 09-10443); Uniplast Holdings, Inc. (Case No. 09-10444); Pliant Corporation International (Case No. 09-10445); Pliant Film Products of Mexico, Inc. (Case No. 09-10446); Pliant Packaging of Canada, LLC (Case No. 09-10447); Alliant Company LLC (Case No. 09-10448); Uniplast U.S., Inc. (Case No. 09-10449); Uniplast Industries Co. (Case No. 09-10450); and Pliant Corporation of Canada Ltd. (Case No. 09-10451).

The Debtors operate twenty-one manufacturing and research and development facilities in the United States, Canada, Germany, Mexico and Australia. Through its four operating segments, Companies products are sold into numerous markets for a wide variety of uses. For example, the Company annually produces approximately four billion bread and bakery bags (20% to 25% of North America’s total usage) and is the third larges producer of films in North American for cookie, cracker and cereal box liners. The Company is also a leading manufacturer of polyethylene mulch films that are sold to fruit and vegetable growers and nursery operators, and personal care films used in disposable diapers, feminine care products and adult incontinence products. In addition, the Company is a specialized manufacturer of medical films which are used in disposable surgical drapes and gowns, as well as in protective packaging for medical supplies.

The Debtors attribute their current financial situation to unprecedented run-up in crude oil and natural gas prices in the summer of 2008. Specifically in the second and third quarters of 2008 the Debtors experienced a significant increase in the price of resins. As a result of the increase in oil prices, the Debtors' transportation and facilities costs also dramatically increased. In addition, the Debtors sold significantly less products in 2008 and were unable to refinance certain senior secured debt that was set to mature in 2009.

In fiscal year 2007, the Company recorded $1.096 billion in net sales. For the nine months ending September 30, 2008, the Company recorded net sales of $881 million, which represents an increase of $61 million during the first nine months of 2008 as compared to the same time period in 2007.

As of the Petition Date, the Company employs approximately 2,900 employees worldwide ("Employees"). Approximately 2,300 of the Employees are employed by the Debtors directly. Approximately 1,800 of the Employees are paid hourly and approximately 500 are salaried Employees. Moreover, approximately 400 of the Employees are subject to one of five collective bargaining agreements. In addition, the Debtors also contract for approximately 100 temporary hourly positions. The Debtors have never experienced any significant work stoppages and considers their current relations with their employees to be good.
