Debtors' businesses: The Debtors, Leiner Health Products Inc., http://www.advmkt.com/, LHP Holding Corp., Leiner Health Products, LLC, and Leiner Health Services Corp., each filed for bankruptcy protection in the Bankruptcy Court for the District of Delaware on March 10, 2008. The Debtors' cases are jointly administered under the Case No. 08-10446 (KJC).

The Debtors are a leading manufacturer of store brand vitamins, minerals and nutritional supplements and have been a significant supplier of store brand over-the-counter pharmaceuticals in the United States. The Debtors' affiliate Vita Health Products, Inc. is a leading manufacturer of private label and branded vitamins, minerals and over-the-counter pharmaceuticals in Canada. The Debtors' top four customers accounted for approximately 81% of the Debtors' gross sales in calendar year 2007. To meet their customers' needs, the Debtors rely on a small number of supplies to provide the necessary ingredients and minerals for the Debtors' products.

For the fiscal year ending March 31, 2007, the Debtors generated in excess of $685 million of revenue and approximately $84 million in EBITDA. As of the Petition Date, the Debtors employed approximately 1,089 employees. In addition, the Debtors procure the services of approximately 23 independent contractors and, through employment agencies, approximately 575 temporary employees. None of the Debtors' employees are represented by a collective bargaining agreement.

CHAPTER 11 PROCESS

=====================================================================

Chapter 11, entitled Reorganization, ordinarily is used by commercial enterprises that desire to continue operating a business and repay creditors concurrently through a court-approved plan of reorganization. The chapter 11 debtor usually has the exclusive right to file a plan of reorganization for the first 120 days after it files the case and must provide creditors with a disclosure statement containing information adequate to enable creditors to evaluate the plan. The court ultimately approves (confirms) or disapproves the plan of reorganization. Under the confirmed plan, the debtor can reduce its debts by repaying a portion of its obligations and discharging others. The debtor can also terminate burdensome contracts and leases, recover assets, and rescale its operations in order to return to profitability. Under chapter 11, the debtor normally goes through a period of consolidation and emerges with a reduced debt load and a reorganized business.
