OVERVIEW OF DEBTORS CASES AND BUSINESS

On July 7, 2009, the Lear Corporation (the "Company") along with 23 other debtors (collectively, the "Debtors") filed for relief under chapter 11 of the Bankruptcy Code. The Company is a Delaware corporation and the ultimate parent of each of the Debtors in these Chapter 11 cases. The Company is a leading global automotive supplier of seat systems, electrical distribution systems and electronic products. The Company currently maintains its headquarters in Southfield, Michigan and has 210 facilities across 36 countries.

The Company was originally founded in 1917 as American Metal Products Corporation.

Purpose for Chapter 11 filings

Pursuant to the Declaration of Shari L. Burgess in Support of First Day Motions ("First Day Declaration"), the Debtors are commencing their cases despite the fact that they do not have "outstanding funded debt." First Day Decl. at ¶6. The Debtors cite one main reason for these filings: (1) the Debtors are severely impacted by the recent economic downturn. Id. According to the First Day Declaration, the Debtors plan to use the chapter 11 process to effectuate their proposed restructuring, enhance liquidity and solidify their long-term growth prospects and operating performance.
