Debtors businesses: The Debtors, Advanced Marketing Services, Inc. (“AMS”), http://www.advmkt.com, Publishers Group Incorporated (“PGI”), and Publishers Group West Incorporated (“PGW”), each filed for bankruptcy protection on December 29, 2006. AMS is a wholesaler, and PGW is a distributor, of general interest books and other media to membership warehouse clubs, certain e-commerce companies and other retailers. Through one of its divisions, AMS repackages various titles for redistribution and sale. Through its wholly owned subsidiary, PGW, AMS provides a full range of book marketing and distribution services to smaller publishers under exclusive contractual arrangements. AMS obtains most of the books it wholesales directly from publishers, primarily on a fully returnable basis, and it also sells such books primarily on a fully returnable basis.
PGW provides its publisher clients with a range of related services, including marketing and publicity; customer service; warehousing and distribution, billing and collection, and sales and inventory reporting. The Debtors’ sales, excluding intercompany sales, for the fiscal year ended March 31, 2005 were approximately $823 million.
The stock in AMS is held by approximately 400 beneficial shareholders, including investors and certain of the Debtors’ founders.
